Accounts and access
- Provide accurate registration information and keep credentials secure.
- You are responsible for actions under your account; notify us promptly of unauthorized use.
- We may suspend or revoke access for security, abuse, or material breach.
License and acceptable use
- You get a limited, revocable, non-exclusive, non-transferable right to access the service.
- Do not reverse engineer, probe or breach security, overload or disrupt the service, misrepresent identity, or use the product to build a competing offering.
Customer data and integrations
- Customer Data includes what you or your users submit, including integration metadata and account info.
- You retain all rights to Customer Data and grant us the rights needed to host, process, and analyze it to operate and improve the service.
- You are responsible for obtaining permissions to connect third-party tools and complying with those providers’ terms.
Agent actions
- FluxLens agents take no action in your connected tools unless you authorize them to.
- Where you authorize an action, you are granting FluxLens permission to act in that tool on your behalf, within the scope of the connection you approved. The agent proposes an action before taking it and a person confirms it; the executed action is recorded in your organization’s audit log.
- You remain responsible for actions you or your users confirm, and you can withdraw authorization at any time by disconnecting the integration.
Confidentiality
- Each party will protect the other’s confidential information with reasonable care and use it only to perform under these terms.
- Confidentiality does not apply to information that is public, already known, independently developed, or disclosed by law.
Security and data protection
- We implement technical and organizational measures appropriate for the service. See the Privacy Policy for data handling and subprocessors.
- If we become aware of unauthorized access to Customer Data, we will notify you without undue delay subject to legal constraints.
Pre-release service
- FluxLens is pre-release and provided for evaluation. There is no availability commitment, no service level agreement, and no charge.
- Features may change substantially or be withdrawn, and the service may be unavailable without notice.
Service changes and availability
- We may modify features, release updates, or discontinue components with reasonable notice when practical. Beta features are provided “as is.”
- We may throttle or suspend use to protect the service or comply with law.
Compliance
- You will use the service in accordance with applicable laws, including anti-spam, anti-abuse, and data protection regulations.
- Do not submit sensitive data we do not explicitly support (e.g., protected health information, payment card numbers) unless agreed in writing.
Intellectual property
- We and our licensors retain all rights in the service, software, and content. No rights are granted except as expressly stated.
- Feedback you provide may be used to improve the service without obligation.
Disclaimers
- The service is provided “as is” and “as available.” We disclaim warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation.
Limitation of liability
- To the maximum extent permitted by law, neither party is liable for indirect, consequential, special, punitive, or incidental damages, or lost profits or revenues.
- Except for your payment obligations, your breach of acceptable use, or your indemnity, each party’s aggregate liability is limited to fees paid or payable by you in the 12 months before the claim (or $100 if no fees were paid).
Indemnity
- You will indemnify and defend us from third-party claims arising from your Customer Data, your use of the service in violation of these terms, or your breach of applicable law.
Term and termination
- These terms apply while you use the service. You may stop using it at any time.
- We may terminate or suspend access for material breach with notice when practical. After termination, access ends and we may delete Customer Data after a reasonable retention period, subject to legal obligations.
Governing law and disputes
- These terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law rules.
- Venue and jurisdiction lie in state or federal courts located in Delaware.
Changes to these terms
- We may update these terms. Material changes will be communicated via the product or email. Continued use after changes become effective constitutes acceptance.
